Terms & Conditions

The following terms and conditions (these "Terms") are entered into by and between you and Zileo ("Company", "we" or "us"). These Terms apply to anyone who visits and uses our web application, Zileo.app (the "Site"), purchases and uses services made available for sale on our Site ("Purchased Services") and purchases or uses any other services offered by us, whether through the Site or otherwise (collectively, the "Services"). Please read these Terms carefully. By accessing, browsing or otherwise using the Services or by clicking to accept or agree to the Terms when this option is made available to you, you (1) acknowledge that you have read and understood these Terms, (2) represent and warrant that you meet all of our eligibility requirements for using the Services as described in these Terms and (3) accept and agree to be bound by these Terms. If you are using the Services on behalf of an entity, you agree to these Terms for that entity and represent to us that you have the authority to bind that entity to these Terms. If you do not accept these Terms or do not satisfy the eligibility requirements set forth below, you may not access or use the Services.

Your use of the Services is subject to the terms set forth in our privacy policy. Our Privacy Policy details how we collect and use your information. Please review it if you would like to know more about how we collect, use, and treat your information. The Privacy Policy is incorporated into these Terms by reference.

We reserve the right to update and revise these Terms at any time. Any such changes are effective immediately when we post them, and apply to all access to and use of the Services thereafter. Please review these Terms regularly because once we post any changes, your continued use of the Services constitutes your acceptance of the revised Terms.

We only permit individuals who are at least 18 years old and can form legally binding contracts with us to use the Services. The Services are not intended for use by anyone under the age of 13. To use our Services, you must have an account and login with your work email or Gmail or Outlook email account, a valid credit card or debit card, and be legally permitted to use the Services by the laws of your home country. Our servers and offices are located in the United Kingdom and United Arab Emirates, so your information may be transferred to, stored, or processed in those locations. You are solely responsible for ensuring compliance with the laws of your specific jurisdiction, including all applicable anti-spamming legislation.

We reserve the right to disallow anyone from registering for the Services. Your Account is personal to you, and you may not share your Account information with, or allow access to your Account by, any third party. You are solely responsible for maintaining the confidentiality of your password. If you have any reason to believe that your Account has been compromised or that your Account has been accessed by a third party, you agree to immediately notify us via email at support@zileo.io. You will be solely responsible for the losses incurred by the Company and others due to any unauthorized use of your Account. You can always delete your Account by emailing us at support@zileo.io; however your contractual agreement will still stand if you choose to delete your account and charges for licenses will still be payable.

You may not use the Services in any way (directly or indirectly) to send, transmit, handle, distribute or deliver: • Unsolicited email ("spam") in violation of the CAN-SPAM Act or any other applicable law. • An email to an address obtained via Internet harvesting methods or any surreptitious methods. • An email to an address that is incomplete, inaccurate and/or not updated for all applicable opt-out notifications. • Commercial electronic messages in violation of Canada's Anti-Spam Legislation. • Any email offering to sell illegal goods or services or emails with pornography or sexually explicit content. For bulk emails that you send, you must be able to point to an opt-in form or show other evidence of user consent.

In addition, you may not do any of the following while accessing or using the Services: • Send any emails or other content that violate any applicable local, state, national or international law or regulation. • Include in your emails any material that wasn't created by you or provided for you to use. • Sell or otherwise commercially exploit the Services to any third party without express written permission. • Use any misleading or incorrect names, addresses, email addresses, or subject lines. • Decipher, decompile, disassemble, or reverse engineer any of the software on the Site. • Use any of the software on our Site to create a competing product. • Import or incorporate Social Security numbers, passwords, security credentials, or sensitive personal information into any lists or uploads. • Use purchased, rented, or third-party lists of email addresses.

You warrant that each email you send using the Services will contain an advisement that the recipient may unsubscribe, opt-out or otherwise demand that use of its information for unsolicited communication be stopped (and how the recipient can notify you of this). You warrant that you will promptly comply with all opt-out, unsubscribe, "do not call" and "do not send" requests. You must include your contact information in all email campaigns, including your physical mailing address.

The Service and its original content, features and functionality are and will remain the exclusive property of Zileo and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Zileo.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ZILEO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZILEO, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
